CONSIDERATION OF SESSIONAL PAPER NO. 3 OF 2025

ON PARTIAL DIVESTITURE IN SAFARICOM PLC BY

THE GOVERNMENT OF KENYA

(The Chairperson, Departmental Committee on Finance and National Planning)

THAT, this House adopts the Joint Report of the Departmental Committee on Finance and National Planning and the Public Debt and Privatization Committee on the consideration of Sessional Paper No. 3 of 2025 on Partial Divestiture in Safaricom PLC by the Government of Kenya, laid on the Table of the House on Tuesday, 10th March 2026 and— (a) resolves that, pursuant to the provisions of section 87(A) of the Public Finance Management Act, Cap. 412A, the House approves the Sessional Paper No. 3 of 2025 on Partial Divestiture of Safaricom PLC by the Government of Kenya; and

(b) further resolves as follows – Effective date (i) That, the effective date for the approval shall be 1st April 2026 or such later date when all regulatory approvals that form condition precedent in paragraph 4.1 of the Share Purchase Agreement shall have been obtained; Completion upon obtaining all regulatory approvals (ii) That, the Cabinet Secretary for the National Treasury shall upon obtaining all regulatory approvals in line with condition precedent in paragraph 4.1 of the Share Purchase Agreement undertake and complete the transaction through the Block Trade Platform of the Nairobi Securities Exchange;

Upfront payment to be made in lieu of future dividends (iii) That, the Government of Kenya shall receive Kenya shillings Forty billion and two hundred million (Ksh. 40.2B) as upfront payment in lieu of future dividends on the residual twenty (20) percent shareholding as per the Dividend Purchase Agreement;

Proceeds to be paid into the National Infrastructure Fund (iv) That, notwithstanding anything contained in the Share Purchase Agreement and the Dividend Purchase Agreement, the proceeds of the divestiture shall be paid into the National Infrastructure Fund; No redundancy of existing staff (v) That, to safeguard against loss of jobs for existing staff, there shall be no acquisition-related redundancies in Safaricom PLC; and Preservation of the existing business model with Safaricom PLC dealers, agents and other business partners (vi) That, the Cabinet Treasury for the National Treasury shall ensure that, within ten (10) years of the divestiture, there shall be no material change to the current shared prosperity business model in Safaricom PLC that will prejudice the existing Safaricom PLC dealers, agents and other business partners.

KOIBEM VILLAGE, NANDI COUNTY

THAT, this House adopts the Report of the Public Petitions Committee on its consideration of a Public Petition No. 69 of 2023 regarding delay in resettlement of squatters in Koibem Village, Nandi County, laid on the Table of the House on Tuesday, 11th November 2025 and pursuant to the provisions of section 34(5)(b) of the Forest Conservation and Management Act, Cap. 385— (i) approves— (a) THAT, the boundaries of the South Nandi Forest be varied by excluding 910.62 hectares in the Kaimosi Block along the Yala River from the original boundaries of the Forest for the settlement of documented squatters from Koibem and Ngerek Villages in Nandi County and for attendant public utilities, as planned under the Chepkumia Land Exchange Programme; (b) THAT, the 910.62 hectares so excluded under paragraph (a) be degazetted and allocated as follows— (i) 266.88 hectares be allocated for the settlement of the documented squatters from Koibem Village; (ii) 455.45 hectares be allocated for the settlement of the documented squatters from Ngerek Village; and (iii) 188.29 hectares be reserved for attendant public utilities. (ii) makes the Resolutions contained in the Schedule to the Order Paper.

RESOLUTIONS RELATING TO THE PETITION NO. 69 OF 2023

REGARDING DELAY IN RESETTLEMENT OF SQUATTERS IN KOIBEM

VILLAGE, CHEPKUMIA LOCATION, NANDI COUNTY

  1. 1. THAT, within sixty (60) days of adoption of the Report by the House, the Cabinet

Secretary responsible for Forestry initiates the process of de-gazettement of the 455.15 hectares from South Nandi Forest in accordance with the provisions of section 34 of the Forest Conservation and Management Act, Cap. 385, for settlement of documented squatters in Koibem Village and the attendant public utilities.

  1. 2. THAT, upon the de-gazettement of the 455.15 hectares in South Nandi Forest, the

Cabinet Secretary, Ministry of Lands, Physical Planning, Urban Development and Public Works, facilitates the demarcation of the area, the conduct of the necessary survey and the issuance of title deeds in the new registration area, for settlement of documented squatters in Koibem Village and the attendant public utilities.

  1. 3. THAT, that the Director of Survey, in collaboration with the Nandi County

Government, allocates new parcels of land to the seven (7) individuals whose parcels are uninhabitable and the two (2) individuals who received less acreage, by amending the initial excision survey within the 266.88 hectares earmarked for the settlement of documented squatters in Koibem Village.

  1. 4. THAT, within six months of the adoption of the Report, the Cabinet Secretary

responsible for Forestry, in collaboration with the County Government of Nandi, the National Land Commission and the Cabinet Secretary, Ministry of Interior and National Administration facilitates the resettlement of the documented squatters in Ngerek Village in the 455.45 hectares allocated for that purpose within the South Nandi Forest as planned in the Chepkumia Land Exchange Programme.

I. THE

TEA (AMENDMENT) BILL (SENATE BILL NO. 1

OF 2023)

Notice is given that the Chairperson of the Departmental Committee on Agriculture and Livestock intends to move the following amendments to the Tea (Amendment) Bill, 2023 at the Committee Stage—

CLAUSE 2

THAT, Clause 2 of the Bill be amended— (a) by deleting paragraph (d) and substituting therefor the following new paragraph— “(d)by deleting the definition of the word “value addition” and substituting therefor the following new definition— “value addition” means improvement on made tea through blending, flavouring, branding or packaging into a retail packet or a container holding not more than ten kilograms, and includes tea extracts, tea aroma and decaffeinated tea;” (b) by inserting the following new paragraphs immediately after paragraph (b)— “(ba)by deleting the definition of the word "medium scale tea grower" and substituting therefor the following new definition— "medium scale tea grower" means a person cultivating tea in a parcel of land supplying green leaf to a tea factory limited company;” “(bb)by deleting the definition of the word "small scale tea grower" and substituting therefor the following new definition— "small scale tea grower" means a person cultivating tea in a parcel of land of less than ten acres supplying green leaf to a tea factory limited company; (c) by deleting paragraph (e) and substituting therefor the following new paragraph— “(e)by inserting the following new definitions in their proper alphabetical sequence— “direct sales” means a contractual agreement between a factory and or its management agent and an overseas buyer or local buyer for the sale of made tea on mutually accepted terms and conditions enforceable in law;

"e-trader" means a person providing a platform for buying and selling of tea through an e-commerce platform;

“green leaf” means leaf detached from tea plants but not dried or processed in any way and includes purple leaf;

CLAUSE 3

THAT, the Bill be amended by deleting clause 3 and substituting therefor the following new clause— Amendment of section 5 of Cap 343 “3. Section 5 of the principal Act be amended in paragraph (e) by deleting the words “commercial tea nurseries, commercial green leaf transports”

CLAUSE 6

THAT, the Bill be amended by deleting Clause 6 and substituting therefor the following new clause— Amendment of section 22 of Cap 343 “6. Section 22 of the principal Act is amended—

(a)by deleting subsection (1); (b)in subsection (4) by inserting the word “factory” immediately after the words “their duties the”.”

CLAUSE 7

THAT, Clause 7 of the Bill be amended by deleting paragraph (a) and substituting therefor the following new paragraph— “(a)by inserting the following new subsection immediately after subsection (1)— (1A)A large scale tea grower shall notify the Board of any intended sale or transfer of ownership of its tea growing business three months before the commencement of the intended transaction.”

CLAUSE 11

THAT, the Bill be amended by deleting Clause 11 and substituting therefor the following new clause— “11. The principal Act is amended by inserting the following new section immediately after section 34— Insertion of new section 34 to Cap 343. Tea sales. 34A. (1) Kenyan tea shall be traded through— (a) the auction; (b) direct sales; or (c) e-commerce. (2) The Cabinet Secretary may prescribe regulations providing for the sale of tea through the auction, direct sales and e-commerce. E-commerce. 34B. (1)A person who intends to establish an e-commerce platform for sale of tea shall register with the Board. (2)A person shall not establish an e-commerce platform for tea unless the person is registered in accordance with this Act. (3) The Cabinet Secretary shall prescribe regulations providing for the procedure of e-traders and the appeal process in case of refusal or denial of registration.

CLAUSE 12

THAT, Clause 12 of the Bill be amended by deleting paragraph (c).

CLAUSE 13

THAT, Clause 13 of the Bill be amended in the proposed new Clause 36A— (a) by deleting subclause (2) and substituting therefor the following new subclause— "(2) The prices offered at the direct sales shall be a price above the average price recorded at the auction within the three months preceding the sale." (b) by deleting subclause (3) and substituting therefor the following new subclause— "(3) The Cabinet Secretary shall, in consultation with the Council of Governors prescribe regulations for the procedure of direct sale of tea."

CLAUSE 15

THAT, Clause 15 of the Bill be amended by deleting paragraph (a) and substituting therefor the following new paragraph— “(a). inserting the following new subsection immediately after subsection (2)— “(2A) Specialty tea and value added tea packed into packets or containers holding not more than ten kilograms including tea aroma, tea extracts and decaffeinated teas shall be exempted from tea levy.

CLAUSE 16

THAT, the Bill be amended by deleting Clause 16 and substituting therefor the following new clause— Amendment of section 74 of Cap 343 “16. Section 74 of the principal Act is amended— (a) in subsection (1) by deleting the word “if” appearing immediately after words “carrying out” and replacing therefor the word “of”; and (b) in subsection (2) by inserting the following paragraphs immediately after paragraph (v)— (va)corporate governance guidelines for the tea industry; (vb)Code of Ethics and Conduct for tea director(s);”

NEW CLAUSE 7A

THAT, the Bill be amended by inserting the following new clause immediately after Clause 7— Amendment to section 25 of Cap 343. “7A. Section 25 of the principal Act is amended— (a) in subsection (3) by deleting the words “after consultation with the Cabinet Secretary” in the opening statement. (b) by inserting the following new subsections immediately after subsection (5)— “(6)A holder of a tea manufacturing license shall notify the Board of any intended sale or transfer of ownership of its tea growing business before the transaction is affected. (7) The Cabinet Secretary shall make regulations to provide for transfer of a tea growing business of a tea manufacturer.”

NEW CLAUSE 14A

THAT, the Bill be amended by inserting the following new clause immediately after Clause 14— Amendment of section 48 of Cap 343 “14A.Section 48 of the principal Act be amended by deleting subsection (1) and substituting therefor the following new subsection— “(1) All tea buyers or exporters shall value add at least forty per centum of their annual Kenya tea exports within ten years from the commencement of their business.”

NEW CLAUSE 18

THAT, the Bill be amended by inserting the following new clause immediately after Clause 17— “18. The Third Schedule to the Principal Act be amended by— (a) deleting the word “Narok" from the East Block; (b) inserting the words “Narok, West Pokot" into the West Block

THAT, pursuant to the provisions of Standing Order 97(1), this House orders that each speech in a debate on any Motion, including a Special motion be limited in the following manner: A maximum of three hours with not more than twenty (20) minutes for the Mover and ten (10) minutes for any other Member speaking, except the Leader of the Majority Party and the Leader of the Minority Party, who shall be limited to a maximum of fifteen (15) minutes each, and that ten (10) minutes before the expiry of the time, the Mover shall be called upon to reply; and that priority in speaking be accorded to the Leader of the Majority Party, the Leader of the Minority Party and the Chairperson of the relevant Departmental Committee, in that order.

Limitation of Debate on Sessional Papers III. THAT, pursuant to the provisions of Standing Order 97(1), this House orders that each speech in a debate on any Sessional Paper shall be limited as follows:- A maximum of two and a half hours, with not more than twenty (20) minutes for the Mover in moving and five (5) minutes for any other Member speaking, including the Leader of the Majority Party and the Leader of the Minority Party and the Chairperson of the relevant Committee (if the Sessional Paper is not moved by the Chairperson of the relevant Committee), and that ten (10) minutes before the expiry of the time, the Mover shall be called upon to reply; and further that priority in speaking shall be accorded to the Leader of the Majority Party and the Leader of the Minority Party, in that order.

Limitation of Debate on Reports of Audit Committees IV. THAT, each speech in debate on Reports of Audit Committees be limited as follows: A maximum of sixty (60) minutes for the Mover in moving and thirty (30) minutes in replying, and a maximum of ten (10) minutes for any other Member speaking, except the Leader of the Majority Party and the Leader of the Minority Party, who shall be limited to a maximum of fifteen (15) minutes each; and that priority be accorded to the Leader of the Majority Party and the Leader of the Minority Party, in that order.

Limitation of Debate on Other Committee Reports V. THAT, each speech in a debate on Other Committee Reports, including a Report of a Joint Committee of the Houses of Parliament or any other Report submitted to the House for which limitation of time has not been specified, be limited as follows:- A maximum of two and a half hours, with not more than twenty (20) minutes for the Mover in moving and five (5) minutes for any other Member speaking, including the Leader of the Majority Party and the Leader of the Minority Party and the Chairperson of the relevant Committee (if the Committee Report is not moved by the Chairperson of the relevant Committee), and that ten (10) minutes before the expiry of the time, the Mover be called upon to reply; and further that priority in speaking be accorded to the Leader of the Majority Party and the Leader of the Minority Party, in that order.
